1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and VoiceCharm LLC ("VoiceCharm," "we," "our," or "us"). By creating an account or using our AI receptionist platform (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

2. Service Description

VoiceCharm provides an AI-powered virtual receptionist that answers phone calls on behalf of your business. The Service includes:

  • A dedicated local phone number for your business
  • 24/7 AI call answering customized to your business
  • Call transcripts, summaries, and analytics
  • Appointment booking and calendar integration
  • Urgent call forwarding to your personal number
  • Customer portal for managing settings and viewing call history

Service features and capabilities may be updated, modified, or expanded at our discretion. We will notify you of material changes.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be at least 18 years old and have the authority to bind your business to these Terms.

4. Fees & Payment

4.1 Subscription

  • VoiceCharm Pro: $299 per month, billed monthly
  • Included: 500 minutes of AI call handling per billing cycle
  • Overage: Additional minutes billed at $0.35 per minute
  • No setup fees or long-term contracts

4.2 Billing

All payments are processed securely through Stripe. Your subscription renews automatically each month on the anniversary of your start date. You authorize us to charge your payment method on file for recurring subscription fees and any applicable overage charges.

4.3 Taxes

Fees are exclusive of taxes. You are responsible for applicable sales tax, VAT, or other taxes imposed by your jurisdiction.

5. Free Trial

We may offer a free trial period. A valid payment method is required to start a trial. If you do not cancel before the trial ends, your subscription will automatically begin and you will be charged. Trial terms will be clearly stated at sign-up.

6. Cancellation & Refunds

6.1 Cancellation

You may cancel your subscription at any time from your customer portal or by contacting us at hello@voicecharm.ai. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until then.

6.2 Money-Back Guarantee

We offer a 30-day money-back guarantee for new customers. If you are not satisfied within 30 days of your first payment, contact us for a full refund. This guarantee applies once per customer.

6.3 Refund Policy

Beyond the 30-day guarantee, no refunds are issued for partial months, unused minutes, or early cancellation. Overage charges are non-refundable once incurred.

7. Phone Number Ownership

VoiceCharm provisions a dedicated phone number for your account. This number is owned by VoiceCharm and licensed to you for the duration of your active subscription. Upon cancellation, you may request to port your number to another provider, subject to standard porting procedures and a $25 administrative fee. If no port request is made within 30 days of cancellation, the number may be recycled.

8. Acceptable Use

You agree not to use the Service to:

  • Conduct illegal activities or violate any applicable law
  • Make unsolicited marketing or spam calls
  • Harass, threaten, or abuse callers or any third party
  • Transmit malicious code or attempt to compromise system security
  • Reverse engineer, decompile, or attempt to extract our source code
  • Resell or sublicense the Service without our written consent
  • Violate telecommunications regulations, including TCPA, FCC rules, or equivalent
  • Use the Service in a manner that could damage our reputation or brand

Violation of these terms may result in immediate suspension or termination of your account without refund.

9. Call Recordings & Data

Calls handled by VoiceCharm may be recorded and transcribed. You are responsible for complying with all applicable call recording and consent laws in your jurisdiction (including two-party consent states). VoiceCharm provides configurable consent disclosures, but you must ensure compliance with local regulations.

You retain ownership of your business data and call content. We retain a license to use anonymized and aggregated data to improve our Service.

10. Third-Party Integrations

The Service may integrate with third-party platforms (Google Calendar, Stripe, etc.). Your use of these integrations is subject to the respective third party's terms and privacy policies. We are not responsible for third-party service interruptions or changes.

11. Service Availability & SLA

We target 99.9% uptime for the Service. However, we do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance when possible. We are not liable for downtime caused by:

  • Third-party provider outages (telephony, cloud infrastructure)
  • Force majeure events (natural disasters, government actions)
  • Your equipment, network, or internet connection
  • Scheduled maintenance windows

12. Intellectual Property

All VoiceCharm software, AI models, branding, website content, and technology are our exclusive property or licensed to us. Nothing in these Terms grants you rights to our intellectual property except the limited right to use the Service during your active subscription.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOICECHARM'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST BUSINESS OPPORTUNITIES.

14. Indemnification

You agree to indemnify and hold harmless VoiceCharm, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE AI RECEPTIONIST WILL HANDLE ALL CALLS PERFECTLY OR THAT THE SERVICE WILL BE ERROR-FREE.

16. Dispute Resolution

Any disputes arising from these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration administered by JAMS in San Francisco, California. You waive any right to participate in a class action lawsuit or class-wide arbitration.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, USA, without regard to conflict of law principles.

18. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 15 days before taking effect. Continued use of the Service after changes constitutes acceptance.

19. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and VoiceCharm regarding the Service.
